This End User License Agreement (“Agreement”) is a legal contract between you (“Licensee” or “You”) and Seradex Web Services Inc. (“Licensor,” “Seradex,” “We,” or “Us”) governing your use of the Seradex ERP Software (“Software”).
1. License Grant
Seradex grants you a non-exclusive, non-transferable, revocable license to install and use the Software solely for your internal business operations, subject to the terms of this Agreement.
2. Ownership
The Software is licensed, not sold. Seradex retains all rights, title, and interest in and to the Software, including all intellectual property rights. You may not claim ownership of the Software or any derivative works.
3. Restrictions
You agree not to:
| • | Modify, reverse engineer, decompile, or disassemble the Software. |
| • | Rent, lease, sublicense, or distribute the Software to third parties. |
| • | Use the Software for any unlawful or unauthorized purpose. |
| • | Circumvent any license management or security features. |
4. Implementation and Support
Seradex may provide implementation services, training, and technical support under separate agreements. This EULA does not guarantee any specific level of support unless explicitly stated in a signed contract.
5. Updates and Upgrades
Seradex may provide updates or upgrades to the Software at its discretion. These are subject to the terms of this Agreement unless accompanied by a separate license.
6. Data and Privacy
You are responsible for the data entered into the Software. Seradex will handle any personal or business data in accordance with its Privacy Policy and applicable laws.
7. Termination
This Agreement is effective until terminated. Seradex may terminate this Agreement if you breach any terms. Upon termination, you must cease all use of the Software and destroy all copies.
8. Warranty Disclaimer
The Software is provided “AS IS” without warranties of any kind, express or implied. Seradex disclaims all warranties, including merchantability, fitness for a particular purpose, and non-infringement.
9. Limitation of Liability
In no event shall Seradex be liable for any indirect, incidental, special, or consequential damages, or loss of profits, data, or business opportunities, arising out of or related to the use or inability to use the Software.
10. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law principles.
11. Entire Agreement
This Agreement constitutes the entire agreement between you and Seradex regarding the Software and supersedes all prior or contemporaneous communications and proposals.

EULA Addendum: Email Logging Functionality
13. Email Logging
The Software includes functionality that automatically logs incoming and outgoing email communications to its database only when such emails are sent to or received from contacts registered within the ERP system (“Logged Emails”). Emails exchanged with individuals or entities not listed as contacts in the system are not logged.
| • | Logged Emails are stored for operational and audit purposes, including communication tracking and customer relationship management. |
| • | Seradex does not access or review the contents of Logged Emails except when required for technical support or debugging purposes, and only with appropriate authorization. |
| • | Under no circumstances are Logged Emails shared with third parties, unless required by law or with explicit written consent from the Licensee. |
